Capital markets law
We offer capital market-oriented companies legal advice on capital measures or takeovers. As preparation, we also support our clients in the decision as to what type of capital measures (increasing or reducing capital, issuing a bond, issuing participation rights, mezzanine capital) represent the suitable form of financing, whereby we can also rely on expertise from the areas of tax consulting and auditing.
Our consulting starts with supporting companies seeking the capital market as a source of corporate financing, e.g. legal support during an IPO.
We continuously support companies quoted on the stock exchange and other capital market-oriented companies in fulfilling their legal capital market obligations from the Stock Corporation Act, the Securities Trading Act, the Stock Exchange Act, the Securities Prospectus Act, the Investment Act, the Capital Investment Code or even the Banking Act as well as issues relating to compliance.
Our clients include, in particular, issuing companies and capital management companies which we provide with legal support in the launch and ongoing management of investment funds. We provide support in preparing contracts and investment conditions, prospectuses and in answering all legal questions arising within the framework of ongoing administration as well as any later liquidation of investment assets. At an early stage, we help issuing companies and their sales partners to develop practical strategies for implementing new supervisory requirements.
And finally, we handle case management for our clients in the event of legal disputes associated with the capital market.
